These Terms and Conditions (“Terms”) govern your access to and use of Workganic CRM (“we,” “us,” or “our”), a Software as a Service (SaaS) platform for customer relationship management (“Service”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service. We recommend reviewing our Privacy Policy, which explains how we handle your data.

1. Account Registration and Use

To use the Service, you must create an account and provide accurate information, including your name, email, and billing details. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.

You must be at least 18 years old to use the Service. Accounts are non-transferable without our written consent.

2. Subscription and Billing

The Service is provided on a subscription basis. Pricing, features, and terms are detailed on our Pricing page or in your subscription agreement.

  • Payment: You agree to provide valid payment information. Subscriptions are billed monthly or annually in advance. All payments are non-refundable except as specified in our Refund Policy.
  • Renewal: Subscriptions auto-renew unless canceled at least 7 days before the renewal date.
  • Upgrades/Downgrades: Changes take effect immediately; prorated credits/refunds may apply.
  • Taxes: You are responsible for all applicable taxes.
  • Non-Payment: If payment fails, we may suspend or terminate your account after notice.

3. Use of the Service

You may use the Service for legitimate business purposes, such as managing client relationships in the insurance industry. You agree not to:

  • Use the Service for illegal activities, spam, or harassment.
  • Upload malicious code or viruses.
  • Reverse engineer, decompile, or copy the Service.
  • Share your account with unauthorized users.
  • Exceed usage limits without prior approval.

We reserve the right to monitor usage and suspend accounts for violations.

4. Data Ownership and Privacy

  • Your Data: You retain ownership of all data you upload to the Service (e.g., client information, notes). We act as a processor and will not use your data except to provide the Service or with your consent.
  • Our Rights: You grant us a limited license to host, backup, and process your data as needed for the Service.
  • Backups: We perform regular backups, but you are responsible for your own data backups.

5. Intellectual Property

The Service, including software, designs, and content, is our property or licensed to us. You may not copy, modify, or distribute it without permission. All trademarks, logos, and service marks are owned by us or our licensors.

6. Limitations of Liability

The Service is provided “as is” without warranties. We are not liable for indirect, incidental, or consequential damages, including loss of data or profits. Our total liability shall not exceed the fees paid in the last 12 months.

7. Indemnification

You agree to indemnify us from claims arising from your use of the Service, including data breaches caused by your negligence or violation of these Terms.

8. Termination

  • By You: Cancel anytime via your account dashboard. No refunds for partial periods.
  • By Us: We may terminate for violation of Terms, non-payment, or if we discontinue the Service (with 30 days’ notice).
  • Post-Termination: Your data will be deleted after 30 days unless exported. We may retain anonymized data for analytics.

9. Governing Law

These Terms are governed by the laws of Ohio, US. Disputes shall be resolved in courts located in Columbus, Ohio.

10. Changes to Terms

We may update these Terms with notice via email or the Service. Continued use constitutes acceptance.
